Check shareholder and signing records before formation

A document-consistency checklist for ownership charts, beneficial owners, resolutions, identity evidence and bank-ready corporate records.

The direct answer

A formation document review should test whether ownership, control and authority tell one consistent story. Build a record of names, shareholdings, controllers and signatories, then compare the evidence supporting each fact. Missing or conflicting records should become questions for review before applications are assembled.

Separate direct ownership from ultimate control

Draw the ownership chart starting with the proposed entity and work through any corporate shareholders to the relevant individuals. Record where control may differ from a straightforward ownership percentage and prepare questions for professional review. Do not infer the answer from a brand name or a group website. The purpose is to produce an intelligible description supported by genuine records, not to simplify away complexities that may matter to a regulator or bank.

Check names and document versions carefully

Compare names, registration details and signatory information across corporate records, identity documents and draft resolutions. Keep a version register so a superseded document is not used in a later application. Foreign-language names and translations may need particular attention. Do not alter an official record to make it match another document; identify the discrepancy and ask the relevant issuing body or qualified adviser what correction or explanation is appropriate.

Show why a person can sign

Ownership does not automatically explain signing authority for every purpose. Identify the constitutional provisions, resolution, appointment or other evidence relied upon for an instruction. Where a corporate shareholder is involved, the authority chain may need more than one record. Ask the receiving party what it requires rather than assuming a signature used in an earlier transaction will be accepted again. Reserved legal interpretation belongs with an appropriately qualified professional.

Prepare one controlled evidence pack

Organise the documents by fact: ownership, authority, activity and address. Label preparation copies clearly and agree secure handling before sending sensitive originals. The same underlying information may support formation, banking and later amendments, but recipients can require different versions or authentication. Retain a record of what was supplied and where. A controlled pack helps future advisers understand the company without treating a previous acceptance as proof that every new requirement is satisfied.

Questions, answered

Before you take the next step

Does an ownership chart replace official records?

No. It explains the relationships. The underlying evidence and any recipient-specific requirements remain necessary.

What should I do with inconsistent names?

Record the discrepancy and obtain appropriate correction or explanation through the issuer or qualified adviser. Do not modify official documents yourself.
