Subsidiary, branch or representative office: questions before filing

A Bahrain entity-design checklist for comparing ownership, permitted activities, signing authority and foreign corporate documents.

The direct answer

Compare entity routes by the role they must perform, their relationship to the existing business and the activities they may undertake. A subsidiary, branch and representative office are not interchangeable descriptions. Qualified advisers and the relevant authorities should confirm suitability and permissions before documents are filed.

Define the relationship with the existing business

Identify whether the proposed Bahrain presence should be a separate company, an extension of a foreign parent or a limited representation arrangement. Explain who will contract with customers, employ staff, own assets and receive revenue. An illustrative group opening a sales presence may have a different need from a group delivering regulated services. The comparison should begin with those facts, rather than a general assumption that one route is always cheaper or easier.

Review liability and management with legal advice

A branch and a separately incorporated subsidiary arrange the relationship with a parent differently. Ask qualified legal advisers to examine obligations, governance, authority and contractual consequences for the intended model. Representative offices require careful review of permissible operations; do not treat the term as permission to trade. Ownership eligibility, the chosen activities and any sector requirements can affect the available route. A comparison table is preparation for this advice, not a substitute for it.

Map the foreign document chain

List the parent’s constitutional records, registration evidence, resolutions and authorised signatory information already available. Establish what the receiving authority and professional adviser require in current form, including translation or authentication where relevant. Keep names and ownership consistent across the chart and supporting records. An uncertified internal copy may be useful for preparing questions but should not be represented as an accepted filing document. Order document work after the intended use is clear.

Carry the decision into connected workstreams

Once the route is professionally assessed, identify the implications for premises, licensing, banking and employment records. A company record alone does not settle sector authorisation, tax treatment or bank acceptance. Retain the structure decision, assumptions and outstanding approvals in the corporate file. If the intended activity or ownership changes during preparation, revisit the earlier conclusions instead of letting the original filing plan continue simply because document work has already begun.

Questions, answered

Before you take the next step

Is a branch always preferable for an overseas parent?

No. Commercial role, liability, activity eligibility and ongoing obligations need review for the specific proposal.

Can a representative office perform the same work as an operating company?

Do not assume so. Confirm the permitted scope for the proposed arrangement with the relevant authority and qualified adviser before making commitments.
